A Special Purpose Acquisition Company (SPAC) is a "blank check" company that raises capital through an IPO to merge with a private company, taking it public. While this can offer an alternative to a traditional IPO, SPACs carry unique and significant risks.

SPAC Analysis Questionnaire

Answer the following questions about the SPAC you are evaluating.

1. How would you describe the SPAC's sponsor/management team?

Highly experienced operators with a successful track record of building and running companies in the target industry. Experienced investors or finance professionals, but without direct operational experience in the target industry. First-time sponsors, celebrity-led, or a team with an unclear or irrelevant track record.

2. What is the SPAC's target industry and its current status?

A high-growth sector (e.g., AI, Green Tech) where the sponsors have proven expertise. A stable, mature industry with clear-cut business models. An overly-hyped or speculative sector with no clear path to profitability. The SPAC has not yet announced a target.

3. When did the SPAC have its IPO, and how much time does it have left?

Recent IPO (within the last year), with over 12 months remaining to find a target. Approaching its deadline (less than 6 months left), putting pressure on sponsors to make any deal, not necessarily a good one. IPO'd during the 2020-2021 market peak and is still searching for a target.

4. Has a merger target been announced and at what valuation?

Yes, a definitive agreement is signed with a company at a reasonable valuation compared to public peers. Yes, but the target company seems overvalued or the deal structure is complex and highly dilutive to shareholders. No target has been announced yet.

5. If a deal is announced, is there a PIPE (Private Investment in Public Equity)?

Yes, a significant PIPE from reputable institutional investors has been secured. No PIPE has been announced, or it is very small. Not applicable (no deal announced yet).
